Limited Liability Company (LLC) - An Overview
A Limited Liability Company (LLC) is a business structure formed under State laws, there are no specific limitations on the number of members that an LLC can have.
Generally, they are treated as pass-through entities for federal tax purposes. The tax filing requirements of an LLC depend upon how they are classified by the IRS.
Classifications of LLC
Based on the elections the business makes and the number of members it has, it will be classified one of two ways for federal tax purposes.

- Multi-Member LLC
Single Member LLC
As the name implies, an LLC with only one member is classified as Single Member LLC. It is further divided into two categories for taxation purposes.
A Single Member LLC treated as Sole Proprietorship (Disregarded Entity)
Single Member LLCs are generally treated as Disregarded entities by the IRS unless they file Form 8832 and elect to be treated as Corporations.
For Single-Member LLCs treated as disregarded entities, the income and losses must be reported on the member’s personal tax return, i.e., Form 1040.
A Single Member LLC treated as Corporation
If the single member files Form 8832 and elects to be treated as a corporation, they are required to file Form 1120 (C-corporation) or Form 1120-S (S-Corporation) to report their income and expenses.
Multi-Member LLC
A Multi-Member LLC is a Limited Liability Company with at least two or more members. They are treated as one of the following for federal tax purposes.
Multi Member LLC treated as Partnership
The LLCs with at least two members will be treated as partnerships unless they elect to be treated as Corporations by filing Form 8832.
Multi-member LLCs treated as partnerships are required to file Form 1065, U.S. Return of Partnership, annually with the IRS to report their financial information.
A Multi-Member LLC treated as a C-Corporation
If the Multi-Member LLC is treated as C-Corporation, then the corporate tax rules will be applied to the business, and it must file Form 1120, U.S. Corporation Income Tax Return, with the IRS to report its financial information.
A Multi-Member LLC treated as an S-Corporation
If the Multi-Member LLC is treated as S-Corporation, they are required to file Form 1120-S, U.S. Income Tax Return for an S Corporation, annually for reporting their income and losses to the IRS.
